Board of Directors

The Board of Directors of CESP is a collegiate decision-making body, responsible for establishing general business policies and directives, including the long-term strategy. In accordance with the
Bylaws of the Company, its board must be composed of at least three and at most 15 members, elected for a term of three years, with the possibility or reelection. Members of the board maintain their duties until the election and taking of office of their successors.

The Company´s board usually meets once a month, or whenever necessary. Board meetings must be held in the presence of a majority of its current shareholders and decisions are made through a favorable vote of the majority of voting members. In the case of a tie vote, the president of the board casts the deciding vote.

Members of CESP´s board are elected by the Company´s shareholders in a general meeting.

JOÃO CARLOS DE SOUZA MEIRELLES – Civil Engineer graduated from the POLI – USP Polytechnic School, in 1958. He served as Coordinator of the MERCOSUR Bovine Livestock Supply Chain Forum, from 1994 to 2002; Vice-President of the International Meat Secretariat (IMS) in 2002; Secretary of Agriculture and Supply of the State of São Paulo, from 1998 to 2002; Secretary of Science, Technology, Economic Development and Tourism of the State of São Paulo, from 2003 to 2006, and Special Advisor for Strategic Affairs – Office of the Governor of the State of São Paulo, from 2013 to 2014. He has served as State Secretary of State for Energy of São Paulo since January 1, 2015.

ADERBAL DE ARRUDA PENTEADO JUNIOR – Graduated in Electrical Engineering at Escola Pontifício Universidade Católica de São Paulo – EPUSP, in 1970. Professor of the Department of Energy Engineering and Electrical Automation at Escola Pontifício from USP – PEA EPUSP, since 1971. Professor at graduation courses in the areas of electrical machines and electromagnetism, post-graduation and education outreach courses in the areas of Electric Systems Grounding, Energy Machines Simulation.
Held the position of Chief-Commissioner of the Technical and Concessions Group at CSPE – State of São Paulo Committee for Public Energy Services during 2013 and beginning of 2014.
Nominated by Decree in April 23, 2004 to the position of General Commissioner at CSPE, complementing his mandate starting April 14, 2008, with the creation of ARSESP – State of São Paulo Sanitation and Energy Regulating Agency – as President Director, adding the position of Director of Technical Regulation and Inspection of Energy Services.
In June 2008, renovated his mandate as Director of Technical Regulation and Inspection of Energy Services at ARESP, position he held until September 2012.
Advisor at CREA-SP for 13 years, integrating several specific committees and coordinating the Electric Engineering Chamber.

ADRIANO JOSÉ PIRES RODRIGUES – Director and Founder of the Brazilian Center of Infrastructure (Jan 2000 / current); Associate Professor at the Energy Planning Program DA COPPE/UFRJ (1983-2009); Advisor of the General-Director at the National Petroleum Agency (2001); Superintendent of Supply at the National Petroleum Agency (Dec 1998 / Aug 1999); Superintendent of Imports and Exports of Petroleum, Derivatives and Natural Gas at the National Petroleum Agency (Apr 1998 / Nov 1998).

ANDREA SANDRO CALABI – Graduated in Economics from the University of São Paulo’s School of Economics and Business Administration (FEA-USP) in 1970, Mr. Calabi earned a Master’s Degree in Economics from the same university’s Economic Research Institute (IPE-USP) in 1972, and was awarded an MA 1975 in and a PhD in Economics from the University of California, Berkeley, in 1982. He was Executive Secretary of the Ministry of Planning from 1995 to 1996; President of Banco do Brasil S.A. and President of the Brazilian Development Bank – BNDES S.A. from 1999 to 2000; and São Paulo State Economics and Planning Secretary from 2003 to 2005. He has been a member of several Boards of Directors, in both the public and the private sectors, and currently sits on the Boards of Cyrela, CESP, TIM, Roland Berger and M&G Fibras e Resinas. He is also a Business Consultant at ACCE Consultoria Empresarial e Participação Ltda. Mr. Calabi has been the Secretary of the São Paulo State Finance Department since 2003. Additionally, he is the Chairman of the Board of Directors of Nossa Caixa Desenvolvimento; a member of the Board of Directors of SABESP – Companhia de Saneamento Básico do Estado de São Paulo; and a member of the Governing Board of INVESTE – Agency for the Promotion of Investments and Competitiveness of the State of São Paulo. CLÓVIS LUIZ CHAVES – Graduated in Physical and Biological Sciences with a Specialization in Environmental Geology from UNESP of São José do Rio Preto – São Paulo, in December 1974 and Graduated in Law at the College of Law of São José do Rio Preto, in December 1979. He exercised the functions of Director of the Agriculture Correctional Institute of São José do Rio Preto, São Paulo, from 1983 to 1990; Adviser to the Lieutenant Governor of the State of São Paulo, from 1991 to 1994; Special Adviser to the President of the Republic, from 1999 to 2001; Special Adviser to the Ministry of Justice in 2002; Chief of Staff for Federal Deputy Aloysio Nunes Ferreira Filho, from 2003 to 2004, and; Sub-Mayor of São Mateus, São Paulo, from 2005 to 2010. He has exercised the function of Director of Institutional Relations of São Paulo Civil Works since 2011.

FERNANDO CARVALHO BRAGA – Graduated in Economics from Mackenzie University in 1974. He has served as São Paulo State Economics and Planning Secretary; Special Adviser to the Governor of São Paulo State; President of the State Property Board; Executive Secretary of the Supervisory Board of the Employment and Unemployment Research Department – PED; and Special Advisor on Privatizations for the State Planning Department. He has also been a member of the Board of Directors of Banco Nossa Caixa, SUBWAY, CPTM and DERSA and a member of the Fiscal Council of Drogasil.

MAURO GENTILE RODRIGUES DA CUNHA – Graduated in Economics at PUC – Pontifical Catholic University of Rio de Janeiro in 1982 and Master’s in International Business from the University of Chicago, concluded in 1998. He was Director of Investments at Bradesco Templeton Asset Management from 2001 to 2006, at Franklin Templeton Investimentos (Brazil) Ltda., from 2006 to 2007, and at Maua Investimentos Ltda. (Senior Partner), 2007 to 2010. At Opus Investimentos worked as Manager from 2010 to 2012. He participated in the Board of Directors at the Brazilian Institute of Corporate Governance, as the Chairman of the Board of Directors from 2003 to 2010.

MAURO GUILHERME JARDIM ARCE – Electrical Engineer graduated from the School of Engineering of Mackenzie University, with a postgraduate degree in Electrical Systems Engineering from PUC-RJ and a Master’s degree in Power Engineering Rensselaer from the Polytechnic Institute at New York, USA. He began his career in 1964 at Indústrias Villares S.A., as an Engineer. In 1967, he began working at CESP as Assistant Engineer, where climbed posts as Head of Section and Sector, Department Manager and, in 1983, Board Assistant, to assume the Board of Generation Transmission, from 1995 to 1998. He was also professor at the School of Engineering and Technology of Mackenzie University. In 1998, he assumed the State Secretariat of Energy of São Paulo and, in January 2002, became responsible for the Secretariat of Water Resources, Sanitation and Works of the State of São Paulo. From November 2002 to May 2003, he also served as President of Companhia de Saneamento Básico do Estado de São Paulo (SABESP). In June 2003, he assumed the State Secretariat of Energy, Water Resources and Sanitation of the State of São Paulo, and from January 2007, he assumed the Secretariat of Transportation of the State of São Paulo. He chaired the National Forum of Secretaries for Energy Affairs and the Boards of Directors of Electricity Companies of the State of São Paulo, Companhia de Saneamento Básico do Estado de São Paulo (SABESP), Desenvolvimento Rodoviário S.A. (DERSA), and Companhia Docas de São Sebastião. In January 2011, he took over as President of CESP, being cumulatively responsible for the functions of the Boards of Engineering and Construction and remaining in this position until April 2014.
He was Secretary of Sanitation and Water Resources of the State of São Paulo in the period from April to December 2014. He took over again as President of CESP on January 16, 2015.

RICARDO ACHILLES – Graduated in Electrical Engineering. He was Assistant Secretary to the State of São Paulo Energy Department, was Metropolitan Superintendent of AES SUL from 2008 to 2010, responsible for the management of distribution network assets in the metropolitan region of Porto Alegre. He also represented the company in commercial and technical relations with customers and, at the same time, occupies the position of AES SUL Safety Champion, responsible for the company’s occupational safety policy. He also occupied several posts at AES ELETROPAULO: between 2006 and 2007, he was responsible for the Underground Distribution System Management and Operations area, providing technical support to customers and operating the interconnected, radial, selective and hybrid systems in the concession area; as Head of Distribution, he was also responsible for distribution assets and customer technical services in the central and southeastern regions of São Paulo; between 2005 and 2006 he was Leader of the Environmental and ISO 14000 Certification Policy Management Group in the central region; between 2001 and 2003, he was Team Leader, responsible for managing distribution assets and providing technical support to customers in the southeast region of São Paulo city and Leader of the Occupational Safety and Operational Quality Group in the same region; in 2001, he was Project Manager and worked on structuring and implementing the Customer Service Unit, and participated in the creation of a company that provides distribution network construction, maintenance and emergency response services, based on the Management Excellence Model (GEM); in 1999, he was Revenue Recovery Manager, responsible for combating fraud, regularizing connections and other irregularities in the northwest of São Paulo; and between 1987 to 2001, he was a manager, engineer and specialist, having worked as Distribution Manager, Systems Service Manager and Technical Engineer in Electrotechnics.

PAULO SÉRGIO CORDEIRO NOVAIS – Law Graduate, FACILUZ, city of Ilha Solteira, state of São Paulo, concluded in Dec 2011 (Lawyer OAB/SP 338.730), and graduation in Sciences, FECLU, city of Pereira Barreto, state of São Paulo, concluded in Dec 1994. Works in CESP since 1994 at UHE Engenheiro Souza Dias (Jupiá), holding the position of Environmental Technician, from 1994 to 2004, and Worksite Safety Technician since 2004.

Executive Officers

CESP´s Executive Management is composed of five members, whether shareholders or not, and is responsible for the management of the general operations and execution of all the necessary or appropriate acts, as well as implementing the decisions made by the board of directors. The executive offices have individual responsibilities established by the board and set forth in the Company´s Bylaws. They hold their offices for a term a three years, with reelection possible, and remain in their positions until the election and assumption of office of their successors. Meetings of the Executive Management are convened by the Chief Executive Officer or by request of the majority of the executive management, and may only be held in the presence of a majority of the officers. Decisions of CESP´s Executive Management are made by majority vote of those present at the meetings.

ALMIR FERNANDO MARTINS – Economist, accountant, and auditor by professional education, he is a career employee at CESP – Companhia Energética de São Paulo. Between 1993 and 1994 he was São Paulo State Energy Department Control and Management Office Director. From February 1995 to March 1999 he was Managing and Financial Director at CESP foundation, Fundação CESP, pension and medical assistance fund for São Paulo State electric sector companies. In 1999 he worked at CESP Presidency Assessorship during the Company privatization process, having participated in the definition of edicts and sale process of Companhia Metropolitana de Gás – Comgás, Companhia de Geração Elétrica Paranapanema and Companhia de Geração Elétrica Tietê. From January 2000 to April 2010 he worked as Executive Assistant to CESP Financial and Investor Relations Directorship, accumulating this same role, as of 2003, and the shared management with EMAE – Empresa Metropolitana de Águas e Energia S.A. From May 2010 to January 2011 he was CFO and Investor Relations Officer at CESP. Since February 2011 he was working as Assistant to CESP Financial and Investor Relations Directorship. He was elected CESP CFO and Investor Relations Officer on December 10, 2012.

MITUO HIROTA – Electrical Engineer graduated at FEI in 1966, Master in Power Systems Engineering at Rensselaer Polytechnic Institute, Troy ,NY, USA in 1972 and Electric Power Management course, sponsored by JICA(Japan International Cooperation Agency) in Japan, in 1991. Professor at Mackenzie Technology College from 1978 to 1985, and FAAP Engineering College, from 1977 to 1994. Career employee at CESP, from 1968 to 1994, he has worked in managing positions in Operations Directorship in Electric Operation Protection and Planning Directorship. He has represented the company in several GCOI – Coordinator Group for Interconnected Operation – bodies. He also worked as Vice-Coordinator of GCOI Subcommittee of Electrical Studies from 1980 to 1994. He was Grupo Rede consultant, from 1994 to 2008, in Operation, Engineering, Regulation and Energy Commercialization areas. He has also participated, as the Group Companies’ representative, in the implantation of . Mercado Atacadista de Energia – MAE – (Wholesale Energy Market) (currently CCEE – Câmara de Compensação de Energia Elétrica – Electric Energy Clearing House), in the several energy purchase and sale auctions sponsored by ANEEL, and represented the Group companies in several entities like: ABRADEE, APINE , ABRACEEL, ONS and CCEE. His previous position was engineering consultant at BMG Engenheiros e Associados. He was elected Generation Director on January 31, 2011.

MÁRCIO REA – Business Manager graduated from Ibirapuera University, completed in 2002, and University Extension in Data Transmission via Fiber Optics Shared with Power Grids. He served as Special Advisor in the Ministry of Science and Technology, from 1988 to 1989; Chief of Staff in the Secretariat of Labor and Social Promotion of the State of São Paulo, from 1990 to 1991; Technical Specialist, Relationship Manager and Advisor to the Board of Directors of Companhia Energética de São Paulo (CESP), from 1992 to 1999; Advisor to the Board of Directors of Companhia de Transmissão de Energia Elétrica Paulista (CTEEP), from 2000 to 2003; Communication Advisor at the Secretariat of Energy and Sanitation of the State of São Paulo, from 2003 to 2006; Head of the Office of Communication and Public Relations at the Secretariat of Transportation of the State of São Paulo, from 2007 to 2011; Manager of the Executive Coordinator’s Office of the Board of Companhia Energética de São Paulo (CESP), from 2011 to 2014; Assistant Secretary at the Secretariat of Sanitation and Water Resources of the State of São Paulo, from April 2014 to January 2015.
He was elected Managing Director of CESP on January 16, 2015.

Fiscal Council

CESP has a permanent fiscal council made up of five permanent members and five alternate members, elected at a Shareholders Meeting for terms of one year. One permanent member of the fiscal council and one alternate are elected by minority common and preferred shareholders.

The primary responsibility of the fiscal council, an independent body unrelated to the independent auditors appointed by the board of directors, is to review financial statements and advise investors regarding their content.

The fiscal council also reports to shareholders on matters relating to budgeting, changes in capitalization, distribution of dividends and corporate restructurings. The fiscal council is responsible for supervising management activities and to keep shareholders apprised of their observations.

She has worked for the São Paulo State government from July 1980 to March 1991, serving in the Economics and Planning Department as analyst and advisor in business budgetary activities, control of state-owned companies and analysis of investments. At the São Paulo State Treasury Department, she held the position of the State Finance Department Officer, from April 2004 to May 2006, and coordinator from June 2006 to June 2010, and since July 2010, she has been the Financial Management Coordination Advisor of the Department. She was a member of the Fiscal Council at Companhia de Saneamento Básico do Estado de São Paulo, from May 2010 to April 2011 and at São Paulo Previdência – SPPREV, from 2008 to April 2011. Since April 2011, Mrs. Ticami has been board member of the São Paulo State Data Processing Company – PRODESP.

VANILDO ROLANDO NEUBAUER – HIGHER EDUCATION IN LEGAL SCIENCES, concluded in 1998 in Ibirapuera University Law School, POST-GRADUATION IN CRIMINAL PROCEDURE concluded in Faculdade Metropolitana Unidas – FMU. He has worked at Banco Real S.A., as procurator; at Gurgel Veículos S.A., he worked in Human Resources activities; at CESP Cia Energética de São Paulo, from 08/07/1978 to 01/19/2011, he was Head of Personnel Sector, HR Manager and Health Programs Manager; at SABESP – Companhia de Saneamento Básico do Estado de São Paulo, since 1995, performs the Role of Legal Technical Assistant of the Sanitation and Water Resources Office.

MANUEL JEREMIAS LEITE CALDAS - Born on 1/8/1956, graduated in Electrical Engineering from the Military Institute of Engineering, Master’s degree and PhD in Economics from Fundação Getúlio Vargas in 1989 and 1990, respectively. He served in Banco Nacional from 1991 to 1994, as Manager of the Economic Department; Banco Gulfinvest, from 1994 to 1995, as Director of Research, Capital Markets; and Banco PEBB, from 1996 to 2006, in the position of Manager of the Technical Department. He was a Consultant for Alto Capital Gestão de Recursos, Manager of Funds registered at the CVM. Head Economist of PEBB / Alto Capital at the Central Bank, from 2007 to 2011. Member of the Board of Directors of Contax Participações, from 2009 to 2015; and São Carlos Empreendimentos, from 2011 to 2013. AMÂNCIO ACÚRCIO GOUVEIA – Graduate degree in accounting from the Universidade Santa Ursula – RJ, in 1985. He worked at KPMG Peat Marwick, between August 1985 and May 1991, starting as a trainee to the audit manager position, working and coordinating work accounting audit in Financial Institutions, Capital Goods and Consumer Industries and Services. In UNIBANCO – União de Bancos Brasileiros S.A. was Accounting Manager between June 1991 and February 1999 (official originating from the Banco Nacional S.A.), acting in the operational management, financial and accounting Financial and Non-Financial Companies. BankBoston Banco Múltiplo S.A. was Deputy Superintendent between March 1999 and April 2001, working in the operational management and accounting of the Asset Management area. From April 2001 to date, the Group Santander Brazil and currently holds the position of Accounting Officer, working in accounting and fiscal management of all Grupo Santander businesses in Brazil.

He was President of Strategic Projects Coordinator in the Imprensa Oficial do Estado de São Paulo – IMESP 2012 to 2015. She is currently Coordinator of UDEMO – Unidade de Desenvolvimento e Melhoria das Organizações at Secretaria de Planejamento e Gestão do Governo do Estado de São Paulo. She is Fiscal Counselor at CETESB – period 2016-2016 . She is a member of Portal da Transparência do Governo do Estado de São Paulo Committee.

JOÃO PAULO DE JESUS LOPES – Civil Engineer, he was Assistant Secretary of Metropolitan Transportation and member of the Board of Directors of Cia. do Metropolitano de São Paulo from January 2007 through January 2011. He was the Chairman and member of the Board of Directors of EMTU – Empresa Metropolitana de Transportes Urbanos. He worked as Independent Corporate Consultant at ShoppingConsult Consultoria from 2000 through 2006, as Corporate Vice-President (statutory) of CLC Holding (Comunicações, Lazer e Cultura S.A.) at the CLC Group from April 1990 through 2000. At Badesp (São Paulo State Development Bank), he held several positions from 1974 through 1982, including Senior Analyst for Industrial Projects, Assistant Manager of the Division of Analysis and Industrial Projects and Manager of the Industrial Projects, Commerce and Services Division.

SANDRA MARIA GIANNELLA – Economist, graduated by FAAP –Armando Álvares Penteado Foundation in 1978, and business administration by Mackenzie University in 1980. State civil servant since 1978, she started working as research assistant in São Paulo state Finance Secretariat. From 1979 to 1988 she has participated in CIEF – Investments, Companies and Foundations Office from São Paulo State Economy and Planning Secretariat. From 1989 to 1998 she was appointed Technical Director and from 1999 to 2003 se was assigned this area coordinator. She was Chief of Staff at São Paulo State Economy and Planning Secretariat, from December 2003 to April 2005, and from April 2005 to March 2006, she was administration coordinator in the same Secretariat. From January to December 2006 she was part of CEDC – Office of Decentralized Entities and Electronic Contracts of São Paulo State Finance Secretariat technical consultancy . She works at Sanitation and Energy Secretariat, today Sanitation and Water Resources Secretariat, since January 2007, she was Chief of Staff until August 2007, Secretary Advisor, and Executive Secretary of Boards of Directors in Companies linked to the Secretariat.

FERNANDO CÉZAR MAIA – Graduated in Electric Engineering at Instituto Militar de Engenharia do Rio de Janeiro in 1980, and post-graduated in Electric Engineering at COPPE/UFRJ – Universidade Federal do Rio de Janeiro in 1983. Has acted in Eletronorte – Centrais Elétricas do Norte do Brasil S.A., having occupied several management positions, from 1985 to 1996. He was ANEEL – Agência Nacional de Energia Elétrica’s General Director’s Special Assessor from 1996 to 2000; Tariff Superintendent at LIGHT – Serviços de Eletricidade S.A., from 2000 to 2003; and ABRADEE – Associação Brasileira de Distribuidores de Energia Elétrica – Technical e Regulatory Director, from 2003 to 2010. Since November 2012 he serves as Associate Director of Bench Consultoria e Assessoria em Energia Ltda., and since September 2012 he is responsible for the Regulatory area and Energy Management area of Grupo Rede distributors, under administrative intervention by ANEEL.

ANNA PAULA DORCE ARMONIA – Bachelor of Business Administration from PUC-Pontifícia Universidade Católica, 1990; Bachelor of Law from Universidade Mackenzie in 1991; Bachelor in Accounting Sciences from Universidade Paulista in 1994; Postgraduate Diploma in Tax Law at the Centro de Extensão Universitária, in 1995. Her professional experience June 1990 to May 1994, was at Price Waterhouse S/C Consultores, in São Paulo where she held the position of Senior Consultant. She joined the tax consulting division of Price Waterhouse as a trainee and assumed the position of Senior Consultant in 1992. From June 1994 to July 2006, she worked at BankBoston Banco Múltiplo S.A., as Deputy Superintendent. From August 2006 to the present, she has worked at Banco Santander Banespa S.A., as Superintendent of the Tax Planning Area.
